Terms of Service

Hello and welcome to TourSyncer! We appreciate you taking the time to read these Terms of Service (the "Terms"). These Terms, together with your booking confirmation email (the "Booking Confirmation"), set out the legal agreement governing your use of the TourSyncer platform and the booking of any travel or tour services through our platform. They also apply to any other interactions or communications you have with TourSyncer through our websites or apps (collectively, our "Service").

By accessing or using our Service, you agree to these Terms. If you do not accept these Terms, please do not use the Service or make any bookings. To purchase or book any tour package or travel service through TourSyncer, you will be required to confirm acceptance of these Terms.

We may update these Terms from time to time. When we make changes, we will post the revised Terms on our Service and update the "Last Updated" date. Your continued use of the Service after any changes become effective constitutes your acceptance of the updated Terms. If you have already made a booking, the Terms in effect at the time of booking will apply to that booking. We recommend you save or print a copy of these Terms for your records.

DDefinitions

For the purposes of these Terms:

"TourSyncer," "we," "us," or "our"

Refers to TourSyncer, Inc., the company providing the Service.

"Platform" or "Service"

Refers to TourSyncer's online platform, including our website, mobile applications, and related tools, that allows Users and Providers to list, sell, search for, and book tour packages and other travel experiences.

"User," "you," or "Traveler"

Refers to any person using our Service to search for, book, or purchase travel services or tour packages.

"Travel Provider" or "Provider"

Refers to an independent third-party travel or tour provider who lists, offers, or provides tour packages or travel services through our Platform. Providers are not employees, agents, or representatives of TourSyncer; they are separate businesses using the Platform to market and sell their services.

"Tour Package" or "Travel Services"

Refers to the travel or tour services made available by Providers through our Service. This includes, for example, guided tours, activities, excursions, multi-day tour packages, or any other travel-related products offered on our Platform. Each Tour Package is provided by a Provider and subject to that Provider's own rules, conditions, and availability.

"Booking"

Refers to a reservation for a Tour Package made by a User through the Platform.

"Content"

Refers to all information and materials submitted to or available on our Service, including text, descriptions, listings, pricing information, schedules, reviews, ratings, comments, photos, images, videos, and other materials.

Please read these Terms carefully before using our Service.

1Rules and Restrictions of Travel Providers

When you make a Booking on TourSyncer, you are also agreeing to abide by the rules, restrictions, and terms set by the Provider of the Tour Package ("Rules and Restrictions"). Each Provider may have its own Rules and Restrictions that apply to the Tour Package you book – for example, policies on payment schedules, cancellations, refunds, changes, minimum age or health requirements for participants, safety guidelines, or other usage terms. These will be provided to you or made available for your review before you finalize a Booking. The specific Rules and Restrictions of a Tour Package are incorporated by reference into these Terms and form part of your agreement.

By completing a Booking, you agree to accept and comply with the applicable Provider's Rules and Restrictions. You must, for instance, adhere to any cancellation deadlines, check-in or meeting times, participation requirements, and usage policies that the Provider specifies for the service. If you fail to comply with a Provider's Rules and Restrictions, the Provider may cancel your tour or refuse to provide the service, and you may not be entitled to a refund or may incur cancellation fees, depending on the Provider's policies. TourSyncer is not responsible for any consequences (such as loss of payments or denial of service) resulting from your failure to follow a Provider's terms.

Key points about Provider Rules and Restrictions:

  • Each tour or service may have unique terms. For example, some tours may require a minimum number of participants, specific equipment or attire, or have age/health limitations. Others may have strict cancellation or no-show policies. Always read the Provider's conditions carefully before booking.
  • Incorporation into Booking: The relevant Rules and Restrictions will be communicated during the booking process (e.g., via a link or shown in the booking interface). By proceeding with a Booking, you acknowledge that you have read and accepted those additional terms.
  • Violations: If you violate a Provider's Rules and Restrictions (for example, by failing to show up on time, not meeting participation requirements, or breaching safety rules during the tour), the Provider has the right to take appropriate action. This may include cancelling the remaining portion of the tour or ejecting you from an activity without refund, denying you further access to the service, and/or charging penalties as outlined in their policies. You may also be responsible for any costs or losses incurred by the Provider due to your violation.

Please ensure you review and understand the Rules and Restrictions for the Tour Package you select. If you have any questions about a Provider's terms, contact the Provider or TourSyncer support before booking.

2Using Our Platform

This section outlines the rules for using the TourSyncer Platform and your responsibilities as a user. By accessing or using our Service, you agree to the following:

2.1 Eligibility and Personal Use

Age and Authority

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account or use our Platform for bookings. By using TourSyncer, you represent that you have the legal capacity to enter into contracts. If you are booking on behalf of other travelers (for example, your family or a group), you represent that you have the authority to act on their behalf and that they have agreed to be bound by these Terms and any applicable Provider Rules and Restrictions.

Personal, Non-Commercial Use

You agree to use the Platform only for personal, non-commercial purposes. You may search for and book tour packages for yourself and your traveling companions. You may not use the Platform to make speculative, false, or fraudulent bookings, or any booking in anticipation of demand. Commercial use of the Platform (such as reselling bookings or acting as an intermediary for profit) is not permitted without our prior written consent.

Account Registration

To access certain features of the Platform (such as booking or listing tours), you may need to create a TourSyncer user account. You agree to provide accurate, current, and complete information during account registration and to keep your account information updated. You are responsible for safeguarding your account login credentials and for all activity that occurs under your account. Do not share your account with others, and notify us immediately if you suspect any unauthorized access or use of your account. TourSyncer is not liable for any loss or damage arising from unauthorized use of your account, but you may be held liable for losses incurred by us or others due to such unauthorized use.

2.2 Your Commitments and Responsibilities

When using our Service, you agree that:

  • Lawful Use: You will use the Platform and Service only for legitimate purposes and in compliance with all applicable laws and these Terms.
  • Truthful Information: All information you provide to us or through the Platform is true, accurate, current, and complete. This includes personal details, payment information, and any details required for a booking or required by a Provider (such as participant names or special requirements).
  • Booking for Others: If you make a booking on behalf of someone else or a group:
    • You have obtained each person's authorization to act on their behalf and to agree to these Terms and the Provider's Rules and Restrictions on their behalf.
    • You will relay all relevant terms, conditions, and information related to the booking to the other travelers. This includes all Rules and Restrictions, requirements, and these Terms.
    • You accept responsibility for the booking obligations, including payment of the total price and any additional fees or charges associated with the booking.
  • Follow Platform Guidelines: You will follow any other guidelines or policies provided by TourSyncer within the Platform. This may include respecting review guidelines (see Section 9) and cooperating with any verification processes.
  • No Interference: You will not interfere with or disrupt the operation of the Service. This means you will not attempt to harm, hack, or impair the Platform or any systems or networks connected to it.

2.3 Prohibited Activities

You agree not to misuse the TourSyncer Service. Prohibited activities include, but are not limited to:

False or Fraudulent Bookings

You will not make any booking that is false or fraudulent. Bookings should only be made in good faith for actual travel or tour participation.

Data Scraping and Unauthorized Access

You will not use any robot, spider, scraper, crawler, or other automated means to access, monitor, or copy content on our Service.

Overloading or Disrupting the Service

You will not take any action that imposes an unreasonable load on our infrastructure or could impair the Service's functionality.

Frame or Mirror

You will not "frame", "mirror", or incorporate any part of our Service into any other website without authorization.

Circumvention

You will not attempt to circumvent the Platform by completing a transaction outside of TourSyncer that was initiated here.

Illegal or Harmful Conduct

You will not use the Service to transmit content that is unlawful, fraudulent, harassing, libelous, abusive, or obscene.

2.4 Platform Access and Suspension

TourSyncer reserves the right to deny access to the Service or take other protective actions at any time if, in our reasonable judgment, a User is violating these Terms or engaging in suspicious or fraudulent activity. Specifically:

  • We may, at our sole discretion, cancel any bookings made under your account (or associated with your name, email, or payment method) if we have reason to believe that the booking is unauthorized, fraudulent, or made in violation of these Terms or a Provider's Rules.
  • We may temporarily or permanently suspend or terminate your TourSyncer account and your access to the Service if we determine that you have violated these Terms, provided false information, engaged in misconduct, or for any other valid reason (such as security concerns or repeated problematic behavior).
  • We may take legal action against anyone who engages in fraudulent or illegal conduct on our Platform. This could include seeking restitution for losses and referring matters to law enforcement authorities.

If we cancel a booking or deactivate your account under this section and you believe this action was taken in error, you may contact our support team to seek clarification or to appeal the decision. However, TourSyncer's decisions to deny access or cancel bookings in protection of our Service, other users, or Providers are typically final as they are made to preserve the integrity and security of our platform.

Finally, we continually improve and update our Service. This means we may add or remove functionalities or features, or we may suspend or stop the Service altogether, at any time and without prior notice. We will not be liable to you for any modification, suspension, or discontinuation of the Service, but if you have an active booking, we will fulfill our obligations for that booking or provide an alternative solution.

3Booking Process and Confirmation

When you use TourSyncer to book a Tour Package, the following terms apply to the booking process and confirmation:

Placing a Booking

Once you have selected a Tour Package, you will need to provide the required information (such as participant names, contact info, and payment details) and follow the on-screen steps to submit your booking request or order. By clicking the booking confirmation button (e.g., "Book Now" or "Confirm Booking"), you are submitting a formal offer to book the selected Tour Package from the Provider under the terms displayed (including price and applicable Rules and Restrictions). You are responsible for reviewing all details of the booking, these Terms, and the Provider's Rules and Restrictions before submission.

Contract with the Provider

When you place a booking through TourSyncer, you enter into a direct contract with the Travel Provider who will deliver the tour or service. TourSyncer is not a party to that contract; we act as an intermediary or platform facilitator. The Provider is solely responsible for delivering the Tour Package as described. TourSyncer's role is to enable the booking and communicate details between you and the Provider.

Booking Confirmation

After you complete your booking on the Platform, TourSyncer will process the transaction and, on behalf of the Provider, send you a Booking Confirmation via email (and/or via your TourSyncer account or app notifications). This Booking Confirmation will include essential details of your reservation, such as the description of the Tour Package, dates and times, number of participants, total price paid, confirmation number, the Provider's details, and any relevant instructions or documents for your tour (for example, a voucher or ticket if required). Please review the Booking Confirmation carefully. This email (or document) is your proof of contract and purchase.

Important: In most cases, you should receive the Booking Confirmation email within minutes of completing your booking. If you do not receive a confirmation within 24 hours after booking, or if you have any reason to believe your booking was not properly processed, contact TourSyncer customer support promptly.

It is your responsibility to ensure that the email address you provided is correct and that you check your inbox (and spam folder) for the confirmation. TourSyncer is not liable for any consequences of a misdirected or undelivered confirmation that result from incorrect contact information provided by you.

Additional Booking Information

  • Tour Provider Vouchers/Tickets

    Some Providers may require you to present a voucher, ticket, or specific confirmation code at the time of service (for example, at the tour check-in). The Booking Confirmation we send may have those items attached or instructions on how to retrieve them. Be sure to bring any required documentation (electronic or printed, as specified) when you go to participate in the tour or activity. Failure to present required documentation might result in the Provider refusing service, in which case you may not be entitled to a refund.

  • Special Requests

    If you have special requests (e.g., dietary restrictions, accessibility needs, or other preferences), you should communicate those to the Provider either through the special request field during booking (if available) or by contacting the Provider directly after booking. TourSyncer cannot guarantee that any special request will be met by the Provider, and we are not liable if a Provider fails to accommodate your requests. Always confirm critical requests directly with the Provider.

  • Communications

    After booking, all further communications about the tour (such as updates, changes, or inquiries) should ideally be handled through the TourSyncer Platform messaging system or via the contact information provided for the Provider. This ensures a record of communications. The Provider or TourSyncer may also contact you at the email or phone number you provided for matters related to your booking.

Summary: Once you have a Booking Confirmation, your reservation is confirmed. It is your responsibility to note the details and comply with any instructions provided (for example, arrival times and locations for the tour). Keep your Booking Confirmation handy (electronically or printed) when you begin your tour, and be prepared to show identification if requested by the Provider to verify your booking.

4Payment, Pricing, and Fees

When you book a Tour Package on TourSyncer, you agree to pay the total amount quoted for your reservation, which may include the tour price, taxes, and any applicable fees. Below are the terms regarding pricing and payments:

4.1 Pricing

  • Displayed Prices

    The price of Tour Packages will be displayed on our Platform in the currency indicated (which typically depends on your location or selection). We strive to ensure that all prices displayed are accurate and up-to-date. Prices are set by the Providers and can change at any time. However, once you have made a booking, the price for that confirmed booking will not change except in cases of an obvious error.

  • Dynamic Pricing

    Travel and tour services can be dynamic. Prices may vary based on demand, season, availability, or promotions. If you save a Tour Package in your cart or wish list, please note the price is subject to change until you actually book and pay. The price in effect at the time of booking (as shown in the final checkout screen) is the price that will apply.

  • Obvious Errors

    While we work hard to avoid mistakes, obvious pricing errors may occur from time to time (for example, a tour listed for $0 or a ridiculously low price due to a typographical error). If a price is obviously incorrect, and a reasonable person would recognize it as a mistake, we reserve the right to correct the error and either offer you the opportunity to keep your booking at the correct price or cancel your booking without penalty.

4.2 Taxes and Charges

Taxes

Prices displayed for Tour Packages may include applicable taxes or may show taxes separately. This depends on the location of the tour and the Provider's practices. Applicable taxes can include sales tax, value-added tax (VAT), goods and services tax (GST), hotel or occupancy taxes (if the package includes lodging), or other similar taxes required by law. During the booking process, you will see a breakdown of the price, and any taxes or charges will be disclosed before you confirm payment.

Tax Responsibility

TourSyncer is a facilitator of the transaction. In many cases, the Provider is responsible for calculating and remitting any taxes on the services they provide. We may collect tax amounts on behalf of Providers and pass them through. The exact nature of taxes (whether included or additional) will be made clear at booking. You are responsible for any such taxes that are disclosed.

Fees

In some cases, additional fees might apply to your booking, such as booking fees, service fees, or payment processing fees. TourSyncer will disclose any platform service fees we charge up front before you complete the booking. These fees help us operate the Platform and provide customer support. Unless stated otherwise, such fees are non-refundable. Providers may also charge certain fees (for example, equipment rental fees, gratuities, or optional add-ons); these will typically be described in the tour listing and either collected at booking or paid on site.

4.3 Payment Process

  • Payment Methods: TourSyncer accepts various payment methods (e.g., major credit cards, debit cards, possibly PayPal or other payment services where available) for booking transactions. You must provide valid payment information. By providing payment details and completing a booking, you authorize TourSyncer (or our designated payment processor) to charge the full amount of the booking (including the tour price, taxes, and fees) to the payment method you provided.
  • Charging Your Card: In most cases, your payment will be charged immediately upon booking confirmation. Sometimes, for certain bookings, you may see an authorization hold for the amount on your card before confirmation. By confirming the booking, you agree that your payment method may be charged by TourSyncer (on behalf of the Provider) or by the Provider's payment processor, as applicable.
  • Currency: Transactions are generally processed in the currency you select or that is displayed during checkout. If your payment method is in a different currency than the one quoted, your bank or card issuer may convert the amount and charge you a foreign transaction fee. TourSyncer is not responsible for the exchange rates or fees imposed by your financial institution.
  • Receipts: After payment is processed, we will include a payment receipt in your Booking Confirmation or send a separate receipt email. This will outline the charges. Keep this for your records. If you need a formal invoice or tax invoice, please contact the Provider or TourSyncer support; in some cases, the Provider will issue invoices for their services.

4.4 Payment Security and Fraud Prevention

Security

We take payment security seriously. All payment transactions on TourSyncer are processed through secure, encrypted payment gateways. Your payment information is transmitted securely.

Verification

To prevent fraud, TourSyncer or our payment partners may require additional verification or authentication of a payment. TourSyncer reserves the right to refuse or cancel a transaction if it has signs of fraud.

Declined Payments

If your payment method is declined or fails, your booking will not be confirmed. We will usually prompt you to provide a new payment method.

Refunds

Any approved refund will be processed to the original payment method whenever possible. Note that it may take a certain number of business days for a refund to appear on your account.

By completing a payment on our Platform, you assure us that you are an authorized user of the payment method, and you consent to the charge (or debit) of the full amount due for the booking. If any issues arise with payment, we will reach out to you, and it is your responsibility to resolve payment issues in a timely manner to avoid cancellation of your booking.

5Cancellations, Changes, and Refunds

Life is unpredictable, and travel plans can change. This section explains the rules and processes for cancelling or changing bookings, whether initiated by you, the Provider, or due to other circumstances. It also covers how refunds are handled.

5.1 Your Cancellation or Change Request

No Automatic Cancellation Right

Once you have made a booking, you do not have an automatic right to cancel or change that booking unless such rights are provided under the Provider's Rules and Restrictions or required by law. Travel services are often date-specific and may not be refundable. Therefore, it's crucial to review the cancellation policy of the Tour Package before you book.

Provider's Cancellation Policy

Each Provider sets their own cancellation and change policy (as part of their Rules and Restrictions). For example, a Provider may allow free cancellation up to a certain number of days before the tour, or they may be fully non-refundable from the time of booking. Some tours may allow rescheduling or changes, possibly with a fee, while others do not permit any changes. The cancellation deadline (the latest date or time you can cancel for a refund) will be disclosed during booking and in your Booking Confirmation.

How to Cancel or Change

If you need to cancel or modify a booking, you should do so through the TourSyncer Platform (via the "My Bookings" section) if that functionality is available, or contact our customer support for assistance. Cancellation or change requests are considered received only when communicated through the proper channel and acknowledged. We will act on your request on behalf of the Provider.

Fees for Cancellation/Changes

Providers may impose fees for cancellations or changes that you initiate. For example, if you cancel a tour that is partially refundable, the Provider may retain a percentage as a cancellation fee.

Price Differences

If you request a change that is allowed, you will be responsible for any increase in price. The new price will be based on the current rates at the time of the change.

No-Shows and Unused Services

If you do not show up for your scheduled tour (a "no-show") or you fail to use any or all of the booked services, you will generally not be entitled to any refund.

Examples:

  • If the Provider's policy says "Fully refundable if canceled at least 7 days before start; non-refundable thereafter," and your tour is on the 30th of the month, you must cancel by the 23rd (at the latest time specified, e.g., by 11:59 PM) to get a refund. If you cancel on the 25th, the Provider can retain the full payment.
  • If a tour is marked "Non-refundable" or "All sales final," it means once you book, you will not get any money back if you cancel. Only book these if you are certain you can attend.
  • If you booked a tour for 4 people and want to reduce it to 3 people, the Provider's change policy will determine if that is treated as a partial cancellation (possibly with a fee) and whether a partial refund is possible for the 1 person removed.

5.2 Cancellations or Changes by Providers or TourSyncer

In certain situations, a Provider or TourSyncer may need to cancel or alter your booking due to unforeseen circumstances:

  • Failure to Pay: If full payment for the booking (or any required installment or related fee) is not successfully collected by the due date, your booking may be canceled.
  • Provider-Initiated Cancellation or Modifications: Providers might cancel or change a booking for reasons beyond their control or due to operational needs. Examples include: the Provider becoming unable to operate the tour on the scheduled date, overbooking or scheduling errors, or the Provider no longer offering that service.
  • TourSyncer-Initiated Cancellation: In rare cases, TourSyncer may need to cancel a booking independent of a Provider's action. This could occur if we detect fraud, if the booking violates any sanctions or legal requirements, or if there was a system error.
  • Minimum Participant Requirements: Some tours require a minimum number of participants to proceed. This should be stated in the tour description. If the Provider does not get enough bookings to meet their minimum, they might cancel the tour.

5.3 Refund Process

If you are entitled to a refund under the applicable cancellation policy or under these Terms:

Refund Issuer

Refunds will generally be issued by the same party that collected your payment. If TourSyncer processed your payment on behalf of the Provider, we will also process the refund to your original payment method.

Timeline

We aim to process approved refunds promptly. Once processed on our end, it can still take several business days for the funds to be returned to your payment account, depending on your bank or credit card company's processing times.

Refund Method

Refunds will be applied to the same payment method used for the original purchase whenever possible. We cannot send refunds to a different destination for security reasons.

Partial Refunds

If only part of your booking is eligible for a refund, we will process that partial amount. The breakdown will be explained in communications with you.

We understand that cancelling a trip can be disappointing. We will do our best to make the process as clear and fair as possible. If you have any issues regarding a cancellation or refund (for example, if you believe you deserve a refund but the Provider disputes it), you can reach out to TourSyncer's support team. We may mediate between you and the Provider to reach a resolution, though the outcome will ultimately be governed by the terms you agreed to at booking.

Remember: Cancellation policies vary greatly by tour and Provider. Some are very flexible, and others are very strict (especially for specialty or high-demand experiences). Always choose a package that matches your needs and risk tolerance, and consider purchasing travel insurance if you want additional protection for unforeseen cancellations.

6Provider Responsibilities and Provider Terms

TourSyncer is a platform that allows Travel Providers to list and sell their tour packages directly to customers. If you are a Provider (or if you interact with Providers on the Platform), the following terms and responsibilities apply to Providers using TourSyncer. These provider-side terms are designed to ensure a safe, fair, and reliable platform for all parties.

Note: This Section 6 is primarily directed at Providers. However, we disclose these terms in our public TOS so that Users understand the obligations Providers have agreed to, which can enhance transparency about what you can expect from Providers.

6.1 Provider Account and Listings

  • Provider Registration: To sell tour packages on TourSyncer, Providers must create a specialized provider account. Providers must provide all information required by TourSyncer, which may include business name, contact information, descriptions of services, licenses or permits (if applicable), banking information for payouts, and other verification details.
  • Listing Creation: Providers are responsible for creating and managing their tour listings on the Platform. This includes writing accurate descriptions, specifying what is included and not included, setting prices, defining cancellation policies and Rules and Restrictions, and providing high-quality and truthful images or media of the experience.
  • Compliance with Guidelines: TourSyncer may provide guidelines or standards for listing content. Providers agree to adhere to any such guidelines. TourSyncer reserves the right to edit, remove, or request changes to listings that do not meet our guidelines or that violate any laws or these Terms.
  • No False Listings: Providers must only list tour packages that they intend to actually deliver. Creating fake listings, posting inaccurate availability, or otherwise attempting to attract customers under false pretenses is strictly forbidden.
  • Licenses and Certifications: Providers are solely responsible for obtaining and maintaining any required licenses, permits, insurance, or certifications to offer their travel services. This includes tour operator licenses, guiding certifications, work permits, liability insurance, permission to access certain sites or parks, etc., as required by local laws in the areas they operate.

6.2 Provider Obligations to Customers

Quality of Service

Providers agree to deliver the Tour Package as described in their listing and in accordance with the Booking Confirmation. The Provider must exercise reasonable skill, care, and diligence in providing the tour services.

Safety and Compliance

Providers are fully responsible for the safety of the tours they operate. They must comply with all health and safety regulations applicable to their services.

Honoring Bookings

When a Provider's tour is booked and confirmed through TourSyncer, the Provider is entering into a contract with the customer. Providers must honor all confirmed bookings.

No Discrimination

Providers shall not unlawfully discriminate against any traveler or potential traveler on the basis of race, color, religion, gender, sexual orientation, national origin, disability, or any other characteristic protected by law.

6.3 Provider Financial Terms

  • Pricing and Payouts: Providers set the prices for their Tour Packages. TourSyncer will display the price as provided by the Provider (plus any applicable taxes or our service fees to the user). When a user makes a payment for a booking, TourSyncer will collect the funds. Providers will receive their payout (the booking amount minus any agreed TourSyncer commission or fees) as per our payment schedule.
  • Commission and Fees: Providers agree that TourSyncer may deduct a commission or platform fee from the amounts collected for their bookings. The specifics of commission rates or fee structures will be communicated separately (for example, in a provider agreement or fee schedule).
  • Taxes (Provider's Responsibility): Providers are responsible for determining what taxes (such as income tax, business tax, VAT, GST, etc.) apply to the services they provide and for collecting, reporting, and remitting the correct taxes to the appropriate authorities.
  • No Circumvention of Payments: Providers must not solicit or accept payments for TourSyncer-booked tours outside of the TourSyncer platform. Doing so (for instance, asking a TourSyncer customer to pay cash on arrival or use a different payment link) undermines the platform's integrity and is prohibited.

6.4 Content and Intellectual Property (Provider)

Use of Media

Providers may upload photos, videos, and descriptions for their tour listings. Providers affirm that they either own these materials or have the legal rights to use them for marketing the tour. Any copyrighted or trademarked material (images, logos, text) that the Provider does not own should not be used without permission. Providers grant TourSyncer a license to use the content they upload for the purpose of operating and promoting the Platform.

Accuracy of Content

Providers are responsible for any claims made in their content. If a Provider's listing text or pictures create certain expectations (e.g., wildlife that will be seen, quality of accommodation, inclusion of meals), the Provider must make good on those representations. Inaccurate content can be considered false advertising.

Reviews and Feedback

Providers acknowledge that users who participate in their tours may leave reviews and ratings on the Platform. TourSyncer does not guarantee any particular rating or feedback. Providers should approach feedback constructively. If a Provider believes a review is unfounded or violates our content guidelines, they can flag it for TourSyncer to review.

6.5 Provider Violations and Removal

  • Compliance with Terms: Providers must adhere to all terms in this Section 6, as well as any other applicable parts of these Terms of Service (including Section 9 on content guidelines and Section 8 on liability/indemnification).
  • Investigation of Complaints: If TourSyncer receives complaints or reports of problems concerning a Provider, we will investigate the matter. Providers agree to cooperate with any such investigation and to provide information as requested by TourSyncer to resolve the issue.
  • Remedial Actions: Depending on the severity and frequency of violations, TourSyncer may take actions against a Provider, including but not limited to: issuing warnings, removing or editing listings, cancelling upcoming bookings (with appropriate refunds to customers), withholding payouts to address customer refunds or claims, imposing fines or penalties, or suspending/terminating the Provider's account.

7International Travel and Destination Requirements

TourSyncer's Platform is global, meaning travelers and Providers from around the world can connect. If you book a Tour Package that involves international travel or travel to a location outside your home country, it is important to be aware of the additional responsibilities and risks. While TourSyncer facilitates connecting you with Providers, you are responsible for ensuring that you meet all requirements for international travel and for staying informed about the conditions at your destination.

7.1 Travel Advisories and Risks

Travel to certain destinations may involve greater risk than others. Governments often issue travel advisories or warnings for areas due to factors like political instability, natural disasters, health outbreaks, or security concerns. It is your responsibility to check the relevant travel advisories issued by your government (and the government of the country you plan to visit, if applicable) before booking and again before traveling. Consider factors such as: local health notices (e.g., epidemics, required vaccinations), safety and security alerts, entry requirements, or any recent developments that might affect your trip.

TourSyncer does not guarantee that any destination is safe or without risk. By booking travel to a particular destination, you acknowledge and accept the risks associated with travel to that location. TourSyncer is not liable for any losses or injuries that result from travel to a destination that may be considered dangerous or high-risk, barring any direct fault or negligence on our part.

7.2 Health and Entry Requirements

Health Precautions

Research what vaccinations or medical precautions are recommended or required for your destination. For example, some countries require proof of yellow fever vaccination if you are coming from a region with yellow fever. Others may recommend malaria prophylaxis, COVID-19 vaccinations/tests, or other immunizations.

Entry/Exit Documents

You must have a valid passport for international travel, and often it must be valid for a minimum period beyond your trip (commonly 6 months after your travel dates). Check your passport's expiration date and renew if needed. Additionally, many countries require a visa for entry.

Additional Documents

Some destinations might require proof of onward travel (like a return ticket), proof of sufficient funds for your stay, or proof of lodging address. If you are participating in certain activities (like a trek in a restricted area), special permits might be needed.

Failure to Comply

If you are denied entry to a country because you lack proper travel documents (passport, visa, etc.) or do not meet health requirements, TourSyncer and the Provider cannot be held responsible. In such cases, the standard cancellation/no-show rules will likely apply.

7.3 Local Laws and Customs

When you travel to another country, you are subject to that country's laws and regulations, which can differ significantly from your home country's. You should:

  • Obey Local Laws: This includes laws related to conduct, photography (some places forbid taking pictures of certain buildings or people), alcohol or drug use (penalties for drug offenses are extremely severe in many countries), traffic rules if you are driving, and so on. If you break the law, there is little TourSyncer or even your home government can do to assist you. You could be arrested, fined, or deported by local authorities.
  • Cultural Respect: Understand and respect the local customs and cultural norms of the places you visit. What is appropriate behavior or dress in one country may be offensive in another. For instance, certain religious sites require modest clothing; some cultures have specific etiquette for greetings or interactions.
  • Sanctions and Legal Travel Restrictions: You are responsible for ensuring that your travel does not violate any export controls, economic sanctions, or other legal restrictions. For example, if you are a citizen of Country A, your government might prohibit travel to Country B (or doing business with certain entities there).

7.4 TourSyncer's Liability in International Context

TourSyncer reiterates that we do not operate the tours and we do not provide transportation or logistics to get you to the tour's starting point (unless explicitly stated for a particular package). We do not assume liability for:

Any governmental action that prevents or impedes travel (such as border closures, visa denials, changes in entry requirements at short notice, quarantines, or detentions).

Incidents or accidents that occur while you are in transit to/from your destination (for example, flights, trains, driving), as those are outside the scope of the tour you booked.

Acts of God or Nature that may affect your trip (natural disasters, extreme weather events, etc.), or other extraordinary events such as strikes, wars, or pandemics, which are beyond our control.

Any losses due to your failure to meet the requirements described in this section (health, documentation, etc.). For instance, lost payments for a tour because you couldn't travel, or additional costs you incur due to these issues, are on you, unless the Provider's policy or some law provides otherwise.

In summary, prepare well when traveling internationally: get your documents in order, stay informed about conditions, follow the law, and respect the culture. This will help ensure your tour goes smoothly and safely.

8Liability and Disclaimers

This section is very important – it outlines the allocation of responsibility between you (the user), TourSyncer, and the Providers, and it limits TourSyncer's liabilities. Please read it carefully so you understand what TourSyncer is and is not accountable for.

8.1 TourSyncer's Role and Liability

  • Platform Role

    TourSyncer provides a platform to connect Users and Travel Providers. We do not operate, own, or control the travel services or tour packages that you book through our Platform (with the exception of any services explicitly stated as provided by TourSyncer, which is not the typical case). The contract for the actual tour services (e.g., guiding, transportation during the tour, activities, lodging as part of a package, etc.) is between you and the Provider. TourSyncer is not a participant in that contract; we act as an intermediary/facilitator.

  • No Warranty for Third-Party Services

    Providers are independent third parties, and they are not agents, employees, or representatives of TourSyncer. Therefore, TourSyncer makes no guarantees or warranties regarding the quality, safety, reliability, legality, or suitability of any Tour Package or Provider. Any representations about the tours (including photographs, descriptions, ratings, and other content) are provided by the Providers or other users (in reviews), not by TourSyncer.

  • "As-Is" Basis

    The Service (our Platform) is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, TourSyncer disclaims all warranties of any kind, whether express or implied, regarding the Platform. This includes any implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and any warranties arising from course of dealing or usage of trade.

8.2 Limitation of Liability

To the extent permitted by law, TourSyncer's liability to you is limited.

Types of Damages Excluded

TourSyncer will not be liable for any indirect, consequential, exemplary, incidental, or punitive damages, or any loss of profit, goodwill, opportunity, business, or data, even if we have been advised of the possibility of such damages.

Maximum Liability

In all cases, TourSyncer's maximum aggregate liability arising out of or in connection with your use of the Service or these Terms (whether in contract, tort, statute, or otherwise) will not exceed the total service fees you paid to TourSyncer in connection with the booking(s) at issue, or one hundred US dollars (USD $100), whichever is greater.

8.3 User's Responsibility and Risk Acknowledgment

  • Travel Risk: You acknowledge that traveling and participation in tours carries inherent risks – from minor issues like schedule changes or discomfort to major risks like accidents, illness, or political instability. You voluntarily assume all such risks related to travel or any activities booked through TourSyncer.
  • User's Due Diligence: You have a responsibility to make an informed decision about which Tour Packages to book. While we aim to provide helpful information and user reviews, you should research and ask questions if needed.
  • No Guarantee of Outcomes: TourSyncer does not guarantee that you will have a specific outcome from using our Service (for example, we can't assure that a particular tour will meet all your expectations or that issues won't occur).

8.4 Indemnification

You agree to indemnify, defend, and hold harmless TourSyncer and its affiliates, and each of our/their respective officers, directors, employees, and agents (collectively, the "TourSyncer Parties") from and against any claim, cause of action, demand, loss, liability, or expense (including legal fees and costs) arising out of or relating to:

  • Your breach of these Terms or the documents referenced herein.
  • Your violation of any law or the rights of a third party (for example, if you, as a traveler, damage property on a tour or if you, as a Provider, injure a guest due to negligence, and that party sues TourSyncer, you'll cover TourSyncer's costs).
  • Your use of the Service (for instance, any content you post, any interaction you have with other users, or any booking transactions) or any activity related to your account by you or any person using your account (including negligent or wrongful conduct).

8.5 Release

Except to the extent that it is prohibited by applicable law, you release TourSyncer and the TourSyncer Parties from any and all claims, demands, losses, expenses, or damages of every kind and nature, known and unknown, arising out of or in any way connected with:

  • Disputes between you and any Provider or other third party (e.g., other travelers) arising from a tour or booking. If you have a dispute with a Provider regarding a refund, service quality, injuries, or anything else, you release us from all claims, demands, and damages connected to such dispute.
  • Any issues or dissatisfaction with a travel service that a Provider provided or failed to provide. (Nonetheless, we will try to assist under our policies, but legally the claim is with the Provider, as mentioned.)
  • Any content posted by another user or Provider, including any defamatory, offensive, or illegal content. However, we do ask that you notify us if you encounter such content so we can review and act accordingly.

Important: This Section 8 does not affect any statutory rights you may have that cannot be waived or limited by contract. Different jurisdictions have different laws regarding consumer protection and liability waivers. We do not seek to override any such laws. Instead, this section sets forth the intended allocation of risk as between you and TourSyncer for using our Service.

9User-Generated Content and Reviews

Our Platform may allow users to post content such as reviews, ratings, photos, profiles, forum posts, and other materials. We value honest feedback and an open exchange of experiences, but we also maintain guidelines to ensure the content remains respectful, relevant, and lawful. By submitting any content on TourSyncer, you agree to this section.

9.1 Content Ownership and License

Your Content is Yours, but...

As a user, you retain ownership of any original content you post (for example, the text of a review you write, or photos you upload that you took). TourSyncer does not claim ownership of your content. However, by submitting content, you grant TourSyncer and its affiliates a broad license to use it.

License to TourSyncer

Specifically, for any content (including but not limited to reviews, comments, photos, videos, questions, or any other contributions) that you submit or authorize us to display on the Platform, you grant TourSyncer a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, publicly display, and perform that content throughout our media and marketing.

Name Attribution

You also permit TourSyncer to use the name or username you used when submitting the content in connection with it. For instance, if you post a review, we might display it as "Review by [Your Name or Username]." If you prefer to remain anonymous or use initials, please set your display name accordingly, or state in your review if you don't want your name used.

9.2 Content Guidelines

We have Content Guidelines to which all users must adhere when contributing content. These guidelines are in place to keep the Platform helpful and trustworthy. While they cannot anticipate every scenario, here are key rules:

  • Relevant and Truthful: All content (especially reviews) should be based on your genuine experience or questions about a specific tour or destination relevant to TourSyncer. Don't post deliberately false or misleading information. Reviews should be factually accurate to the best of your knowledge and reflect your personal experience.
  • Respectful: Do not include any language or material that is hateful, defamatory, harassing, obscene, or otherwise offensive. This includes slurs, insults, or profanity directed at others. We welcome constructive criticism but not personal attacks.
  • No Inappropriate Content: Absolutely no content that is pornographic, sexually explicit, violent (beyond describing a travel experience factually), or that promotes illegal activity. Also, do not post any private information about someone else (e.g., personal phone numbers, addresses) or content that violates another person's privacy.
  • Original Content / No Plagiarism: Post only content that you have the right to post. Don't copy text or images from other sources (websites, guidebooks, etc.) and paste them as your review or post, unless you have permission and give proper credit.

9.3 Moderation and Use of Content

Monitoring

TourSyncer does not pre-approve every piece of content, but we reserve the right to monitor and review user-generated content. We also may use automated tools to scan for problematic content.

Removal of Content

TourSyncer has the right (though not the obligation) to refuse to post, or to remove after posting, any user content that, in our judgment, violates the Content Guidelines or these Terms, or could harm our Platform or reputation.

No Endorsement

User-generated content (reviews, etc.) does not reflect the opinion of TourSyncer. We do not endorse any opinions expressed by users. Content is solely the responsibility of the person who posted it.

Responding to Reviews

If you are a Provider or another user mentioned in a review, you may usually post a response (if the platform allows). Responses must also follow the Content Guidelines (professional and respectful).

10Intellectual Property Rights

This section outlines how intellectual property (IP) is handled on TourSyncer's Platform, including our rights and the respect we require for others' rights.

10.1 TourSyncer's Intellectual Property

Platform Content

All content and material available on the TourSyncer Service (excluding user-generated content covered in Section 9), including but not limited to text, software, scripts, graphics, logos, buttons, icons, images, audio clips, music, videos, design, and layout ("TourSyncer Content"), is owned by TourSyncer or licensed to TourSyncer. Such content is protected by copyright, trademark, trade dress, patent, and other intellectual property and proprietary rights laws.

Trademarks

"TourSyncer", our logo, and any other product or service names or slogans that appear on the Platform are trademarks or registered trademarks of TourSyncer, Inc. (or its affiliates). They may not be copied, imitated, or used (in whole or in part) without our prior written permission. All other trademarks, product names, and company names or logos on the Platform are the property of their respective owners.

Limited License to Users

TourSyncer grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and TourSyncer Content for your personal, non-commercial use. This license is solely for the purpose of enabling you to use and enjoy the benefit of the Service as provided by TourSyncer, in the manner permitted by these Terms.

10.2 Respect for Third-Party IP

TourSyncer respects intellectual property rights of others and expects you to do the same.

  • User Content Assurances: By posting content on TourSyncer, you assure that you own the content or have obtained all necessary rights and permissions (including any copyright, trademark, or privacy/publicity rights) to post it and to grant TourSyncer the license in Section 9.
  • Copyright Infringement Policy (DMCA): If you believe that any content on our Platform infringes your copyright, you may request removal of such content (or access to it) by sending a notice to TourSyncer's designated copyright agent under the Digital Millennium Copyright Act (DMCA) or equivalent laws.
  • Other IP Violations: If you believe any content on TourSyncer infringes trademarks or other IP rights besides copyright, you can contact us with details, and we will investigate.

11Software and Mobile Applications

End User License

When you use our mobile application or any software (the "Software"), TourSyncer grants you a personal, limited, non-exclusive, non-transferable license to download, install, and use a single copy of the Software on your personal device(s) solely for accessing the TourSyncer Service. This license is conditioned on your compliance with these Terms.

Automatic Updates

The Software may automatically download and install updates from TourSyncer from time to time. These updates are designed to improve, enhance, and further develop the Service and may take the form of bug fixes, enhanced functions, new modules, or completely new versions. You agree to receive such updates (and permit TourSyncer to deliver these to you) as part of your use of the Service.

App Store Terms

If you download the TourSyncer app from a third-party app store (like Apple App Store or Google Play Store), you might have agreed to that store's terms as well. Those terms may apply in addition to ours. For example, for iOS users: You acknowledge that these Terms are between you and TourSyncer, not with Apple Inc., and Apple is not responsible for the TourSyncer app or its content.

Additional Software Terms

  • Device Security: You understand that the Software, like any software, may have bugs or errors. While we strive to ensure our Software is secure and stable, you download and use it at your own risk. You are responsible for any harm to your device or loss of data that results from the download or use of the Software.
  • Termination of Software License: If you violate these Terms or if we terminate your right to use the Platform, your license to use the Software will automatically terminate at the same time. We also reserve the right to discontinue the Software or the availability of the app at any time.
  • Export Laws: The software and its underlying technology may be subject to export controls and sanctions laws of the United States and other countries. You agree to abide by all such laws and not to export, re-export, or transfer the Software to any destination, person, or entity prohibited by those laws.

12Disputes and Governing Law

TourSyncer is a global platform, but as a company, we must specify how disputes will be resolved and what laws will govern these Terms. The goal is to ensure fairness while recognizing that users come from different jurisdictions.

12.1 Governing Law

Except where otherwise provided by mandatory local law (explained below), these Terms and any disputes or claims arising out of or relating to them or the Service will be governed by the laws of the State of Texas, USA, if Texas is where TourSyncer is headquartered, or the laws of the jurisdiction in which TourSyncer, Inc. is incorporated/registered (assuming that is Texas, as per the contact info). This governing law applies without regard to conflict of law principles (meaning Texas law will apply even if you reside elsewhere, except that we won't apply any Texas rules that would result in applying another state's laws).

However, we recognize that if you are a consumer residing outside of the United States, you may have certain protections under the laws of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such local law protections.

12.2 Jurisdiction and Venue

TourSyncer aims to accommodate a global user base, but we cannot litigate everywhere. Thus, subject to the exceptions below, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service that is not resolved by informal negotiation or (if applicable) arbitration (as discussed later) shall be brought exclusively in the courts of the jurisdiction where TourSyncer is based.

For example, if TourSyncer's principal place of business is in Dallas, Texas, then you agree that the state or federal courts located in Dallas County, Texas, USA shall have exclusive jurisdiction to hear such disputes. You consent to personal jurisdiction of those courts.

12.3 Arbitration and Class Action Waiver (US Residents)

Please read this section carefully if you reside in the United States. It affects your rights by requiring any disputes with TourSyncer to be resolved through binding arbitration on an individual basis, rather than in court (with limited exceptions), and by waiving your right to participate in class actions or similar proceedings.

  • Arbitration Agreement

    You and TourSyncer agree that any dispute, claim, or controversy arising out of or relating to your use of the Service or these Terms (including the breach, termination, enforcement, interpretation, or validity thereof) or the relationship between us, shall be resolved by binding arbitration, except for the exceptions below. This arbitration agreement is governed by the U.S. Federal Arbitration Act (FAA).

  • Exceptions to Arbitration

    Either you or we may choose to take a dispute to court instead of arbitration in the following situations: (a) for individual claims brought in small claims court (or an equivalent court in the U.S. that handles disputes under a certain monetary threshold) so long as the claim remains in that court; and (b) for injunctive relief claims regarding intellectual property (like trademarks, trade dress, copyrights, or patents).

  • Class Action Waiver

    You and TourSyncer agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator shall not consolidate or join the claims of other persons or parties who may be similarly situated without the express consent of all parties.

13Miscellaneous Provisions

This final section includes various additional terms that don't fit in earlier sections but are important for the overall understanding of the agreement between you and TourSyncer.

13.1 Entire Agreement

These Terms, along with our Privacy Policy (and any other terms expressly incorporated by reference into these Terms), constitute the entire agreement between you and TourSyncer with respect to the Service. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and TourSyncer with respect to the Service.

If you have signed a separate written agreement with TourSyncer regarding specific services (for example, if a Provider has a separate contract), that agreement may also apply to the extent it does not conflict with these Terms.

13.2 No Agency or Partnership

Nothing in these Terms shall be construed as making either party the partner, joint venturer, agent, legal representative, employer, contractor or employee of the other. TourSyncer is not an agent of users or Providers, except for the limited purpose of processing payments from users on behalf of Providers as described. We have an independent contractor relationship.

13.3 Assignment

You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without TourSyncer's prior written consent. Any attempt by you to assign or transfer these Terms without consent will be null and void. TourSyncer may assign, transfer, or novate these Terms or any rights and obligations at any time to an affiliate or in connection with a merger, acquisition, corporate restructuring, or sale of assets, or by operation of law or otherwise.

13.4 No Waiver

If we do not enforce any particular provision, it does not mean we waive that provision or our right to enforce it later. No waiver of any term of these Terms shall be deemed a further or continuing waiver of that term or any other term, and TourSyncer's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.

13.5 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by an arbitral body or court of competent jurisdiction, then that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid provision will, at our election, be amended and interpreted so as to best accomplish the objectives of the original provision within the limits of applicable law, or if such amendment is not possible, deemed severed from these Terms.

13.6 Notices

To You

TourSyncer may provide notices to you under these Terms by email to the email address associated with your account, by regular mail, or by postings on our Platform. Notices emailed to you will be deemed given and received when the email is sent (assuming we don't receive an error that the email was not deliverable). It is your responsibility to keep your email address current.

If such an event occurs, we will use reasonable efforts to minimize the disruption to our Service, but some interruptions may occur.

Certain sections of these Terms by their nature should survive termination of this agreement. These include, but are not limited to: Sections on fees owed, content licenses (your grant of license to content, since it's perpetual), indemnification, warranty disclaimers, limitations of liability, dispute resolution, governing law, and this miscellaneous section.
